These Terms of Use ("Terms") form a binding agreement between you and Amiron Ventures Inc. ("FileSimple," "we," "us," or "our"), a corporation with its registered office in Winnipeg, Manitoba, Canada. They govern your access to and use of filesimple.ca, the FileSimple web application, and any related services (collectively, the "Service").
By creating an account, clicking "I agree," or otherwise accessing the Service, you confirm that you have read, understood, and accepted these Terms. If you do not agree, do not use the Service.
FileSimple is a document automation and filing service that helps Canadian corporations prepare and submit annual corporate registry filings, corporate resolutions, registers of individuals with significant control (ISC), and related minute book documents.
FileSimple is not a law firm. We do not provide legal advice, legal opinions, or legal representation. No solicitor-client relationship is created between you and FileSimple, its directors, officers, employees, contractors, or agents by your use of the Service. Communications with FileSimple are not privileged.
The information, templates, forms, and documents generated by the Service are provided as self-service tools based on the information you supply. They are not a substitute for the advice of a lawyer, notary, or other qualified professional. We do not review your situation for legal sufficiency, and we do not represent your interests in any matter.
You should consult a lawyer for any situation that is non-standard, including but not limited to: disputed directors or shareholders, share class restructuring, amalgamations, continuances, dissolutions or revivals, complex determinations of significant control, shareholder agreements, unanimous shareholder agreements, employment and securities matters, and any matter involving litigation, regulatory enforcement, or tax planning.
The Service does not prepare corporate income tax returns (T2), GST/HST returns, or any other tax filing. Annual corporate registry returns are separate from tax returns. We do not provide accounting, audit, or assurance services.
Subject to these Terms, the Service allows you to:
Filing capability and the method of submission (direct versus assisted) vary by jurisdiction. Current coverage is described on filesimple.ca and within the Service. We may add, change, or remove jurisdictional coverage at any time.
You must be at least 18 years old and legally capable of entering into a binding contract under the laws of your jurisdiction. The Service is intended for business use by or on behalf of Canadian corporations. It is not directed at individuals for personal use and is not intended for children.
If you are using the Service on behalf of a corporation or other entity, you represent and warrant that you have the authority to bind that entity to these Terms. "You" then refers to both you personally and that entity.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly at support@filesimple.ca of any unauthorized access or suspected breach.
If you invite a collaborator (such as an accountant, bookkeeper, or co-director) to your account, you authorize them to access the corporate records you share with them at the access level you select. You are responsible for the actions of your collaborators within your account.
The Service generates documents and filings based on information you provide or confirm — including but not limited to corporate details, director and officer particulars, registered office addresses, shareholder information, and ISC information.
You are solely responsible for the accuracy, completeness, and currency of the information you provide. You are responsible for reviewing every document before signing or transmission. We do not independently verify information against external sources except where the Service expressly states that it does so (for example, pre-fill from a public registry).
Once a filing is submitted, acceptance, rejection, processing time, and registry consequences (including dissolution for non-filing) are governed by the applicable registrar and statute. FileSimple does not control and is not responsible for:
We will use commercially reasonable efforts to alert you to filing deadlines and to relay registry responses to you.
Government filing fees are set by the applicable registrar, are payable in addition to our service fee, and are not refundable by us once paid to the registrar.
Our service fees are displayed on filesimple.ca and within the Service. Government fees are passed through at the rate set by the applicable registrar. Prices may change; the price in effect at the time you place an order is the price you pay for that order.
Payment is processed by Stripe Payments Canada, Ltd. ("Stripe"). By providing payment information, you authorize us and Stripe to charge the applicable fees to your payment method. You agree to Stripe's terms applicable to your transaction.
Fees are stated exclusive of applicable taxes (GST, HST, PST, or QST as the case may be). We will collect and remit applicable taxes as required by Canadian law.
You must not, and must not permit anyone using your account to:
We may suspend or terminate accounts that violate this section.
The Service, including all software, design, text, graphics, templates, and trademarks (including the FileSimple name and logo), is owned by Amiron Ventures Inc. or its licensors and is protected by Canadian and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes, subject to these Terms.
You retain ownership of all data and documents you upload to or generate through the Service ("Your Content"). You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, transmit, display, and process Your Content as necessary to provide the Service and to comply with law.
If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free licence to use it without restriction or compensation.
The Service is provided "as is" and "as available." To the maximum extent permitted by applicable law, FileSimple disclaims all warranties, representations, and conditions, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation.
Without limiting the foregoing:
Nothing in this section limits a consumer's rights under the Consumer Protection Act (Manitoba) or equivalent legislation in your province, to the extent those rights cannot be waived.
To the maximum extent permitted by applicable law:
FileSimple and its directors, officers, employees, contractors, and agents will not be liable to you for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of revenue, loss of business opportunity, loss of goodwill, or loss of or damage to data, arising out of or in connection with the Service, even if we have been advised of the possibility of such damages.
Our aggregate liability to you for all claims arising out of or related to the Service, whether in contract, tort (including negligence), statute, or otherwise, is limited to the greater of (a) the total fees you paid to us in the twelve (12) months preceding the event giving rise to the claim, or (b) CAD $500.
Without limiting the foregoing, we are not liable for any penalty, late fee, dissolution, revival cost, professional fee, tax consequence, or loss of corporate standing arising from your failure to file, late filing, inaccurate information, registry action, or registry inaction.
Nothing in this section excludes or limits liability for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, or any liability that cannot be excluded or limited under applicable law.
If you are a consumer resident in Quebec and the Consumer Protection Act (Quebec) applies to your use of the Service, the limitations in this section apply only to the extent permitted by that Act.
You agree to defend, indemnify, and hold harmless FileSimple and its directors, officers, employees, contractors, and agents from any claim, demand, loss, liability, damages, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your breach of these Terms; (b) your violation of any law; (c) inaccuracy of information you provided; (d) infringement by Your Content of any third-party right; or (e) any filing made by you or on your behalf through the Service.
The Service integrates with third-party providers — currently including Stripe (payments), DocuSign or another e-signature provider, our email and analytics providers, and government registries. Your use of those third-party services is subject to their own terms and privacy practices. We are not responsible for the acts or omissions of any third party.
These Terms apply for as long as you use the Service.
You may terminate your account at any time by contacting support@filesimple.ca or by using the in-product account-closure feature. Termination does not entitle you to a refund of any fees already paid, except as set out in section 4.3.
We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you have breached these Terms or applicable law, or if continued provision of the Service to you would expose us to material legal, regulatory, or reputational risk. We may also terminate or modify the Service generally on reasonable notice.
On termination, your right to use the Service ends immediately. We will retain Your Content as set out in our Privacy Policy and may delete it after a reasonable period.
Sections that by their nature should survive termination — including sections 3, 4, 6, 7, 8, 9, 13, and 14 — will survive.
We may amend these Terms from time to time. If we make a material change, we will notify you by email or through the Service at least 30 days before the change takes effect, unless the change is required by law or addresses a security risk, in which case we will notify you as soon as reasonably practicable. Your continued use of the Service after the change takes effect is your acceptance of the amended Terms. If you do not agree, you must stop using the Service.
These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable in Manitoba, without regard to conflict-of-laws principles.
Subject to section 13.3, the parties submit to the exclusive jurisdiction of the courts of Manitoba sitting in Winnipeg for any dispute arising out of or related to these Terms or the Service.
Before commencing any formal proceeding, you agree to first contact us at support@filesimple.ca and provide a written description of your claim. The parties will attempt in good faith to resolve the matter within 30 days of that notice.
Either party may bring an individual claim in any small-claims court of competent jurisdiction.
To the maximum extent permitted by law, you and FileSimple agree that any dispute will be brought only on an individual basis and not as a plaintiff or class member in any class, collective, or representative action.
Quebec consumers: This class-action waiver does not apply to you to the extent it is unenforceable under article 1437 of the Civil Code of Québec or the Consumer Protection Act (Quebec). Your right to participate in a class action under Quebec law is preserved.
Any claim arising out of or related to the Service must be commenced within one (1) year after the cause of action accrues, except where a longer minimum period is required by applicable law and cannot be waived.
These Terms, together with our Privacy Policy and any order form or written agreement you sign with us, are the entire agreement between you and FileSimple regarding the Service.
If any provision is held unenforceable, the rest of these Terms remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.
Our failure to enforce any right is not a waiver of that right.
You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or to a successor in connection with a corporate transaction.

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including registry outages, internet failures, labour disputes, natural disasters, acts of government, or pandemics.
